1. Acceptance of the Terms
These Terms and Conditions ("Terms") govern your access to and use of the Nuvia platform, website, applications, products, and services (collectively, the "Platform").
By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Platform on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use the Platform.
Nuvia may update these Terms from time to time to reflect changes in our products, services, legal or regulatory requirements, security standards, or business operations. Where required, we will notify you of material changes through the Platform or by other appropriate means. Your continued use of the Platform after the updated Terms become effective constitutes your acceptance of those changes.
2. About Nuvia
Nuvia Networks Limited ("Nuvia", "we", "us", or "our") provides technology that enables individuals and businesses to create professional invoices, receive payments, and access related financial technology services through the Platform.
Nuvia operates as a technology provider and facilitates access to payment infrastructure and other supported services through its Platform and, where applicable, authorised third-party providers and financial institution partners.
The Platform operates using its designated base currency. Nuvia may, from time to time, introduce support for additional currencies, payment methods, products, or services, subject to applicable laws, regulatory requirements, operational readiness, and business considerations.
The availability of specific products, services, payment methods, currencies, or features may vary depending on your location, account type, verification status, applicable laws, and other eligibility requirements.
3. Eligibility and Account Registration
To use the Platform, you must be legally capable of entering into a binding agreement under the laws applicable to you. If you are registering or using the Platform on behalf of a business or other legal entity, you represent and warrant that you have the authority to act on its behalf and to bind it to these Terms.
When creating an account, you agree to provide complete, accurate, and current information and to promptly update your information whenever it changes. You are responsible for ensuring that all information provided to Nuvia remains accurate throughout your use of the Platform.
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You must take reasonable steps to protect your account from unauthorized access and notify Nuvia immediately if you suspect that your account credentials have been lost, compromised, or used without your authorization.
Nuvia reserves the right to refuse account registration, request additional information, suspend access to the Platform, or close an account where it reasonably believes that the information provided is inaccurate, incomplete, misleading, fraudulent, or otherwise inconsistent with these Terms or applicable legal and regulatory requirements.
4. Identity Verification
To help maintain the security and integrity of the Platform and to comply with applicable legal, regulatory, and risk management requirements, Nuvia may require you to complete identity verification before you can access certain features or services.
You agree to provide complete, accurate, and authentic information and any documentation reasonably requested by Nuvia during the onboarding process or at any time while your account remains active. Depending on your account type, transaction activity, or risk profile, Nuvia may require additional information, supporting documentation, or enhanced verification before granting or maintaining access to certain services.
You authorize Nuvia to verify the information you provide through appropriate verification methods, including the use of trusted third-party service providers where applicable. Nuvia may also conduct ongoing verification and monitoring throughout the lifetime of your account to ensure that your information remains accurate and to satisfy applicable legal, regulatory, security, and compliance obligations.
Failure to complete identity verification, provide requested information, or successfully satisfy Nuvia's verification requirements may result in delayed onboarding, restricted access to certain services, temporary suspension of your account, withholding of transactions where permitted, or termination of your access to the Platform.
5. Using the Platform
Subject to these Terms, Nuvia grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Platform solely for lawful business purposes and in accordance with these Terms.
You may use the Platform to create and manage invoices, receive payments, and access other products, services, or features that Nuvia may make available from time to time. The availability of specific services may vary depending on your account type, verification status, location, applicable laws, and other eligibility requirements.

You are solely responsible for ensuring that all invoices, payment instructions, account information, and other content submitted through the Platform are complete, accurate, lawful, and do not infringe the rights of any third party. You must not use the Platform for any unlawful, fraudulent, deceptive, or unauthorized purpose.
Nuvia may modify, suspend, discontinue, or introduce features, products, or services at any time where reasonably necessary for operational, legal, regulatory, security, or business purposes.
6. Payments, Fees and Transaction Controls
The Platform enables users to issue invoices, receive payments, and access other supported payment services made available by Nuvia from time to time. The processing, settlement, and availability of transactions may depend on factors including your account status, verification level, supported payment methods, applicable laws, and operational requirements.
Certain products, services, or transactions may be subject to applicable fees, charges, taxes, or other costs. Such fees may vary depending on the service, transaction type, payment method, supported currency, account tier, jurisdiction, or other relevant factors. Nuvia reserves the right to introduce, modify, or discontinue applicable fees from time to time.
To protect users, financial partners, and the integrity of the Platform, Nuvia applies risk management controls to all accounts and transactions. These controls may include transaction monitoring, rolling velocity limits, device-binding requirements, settlement delays, temporary transaction holds, reserves, or other security measures where reasonably necessary.
Applicable transaction limits and velocity controls vary depending on your account tier, supported currency, risk profile, and other relevant factors. Where applicable, these limits are displayed within your account dashboard or application profile and may be updated by Nuvia from time to time.
Nuvia may delay, withhold, reverse, decline, or restrict the processing or settlement of any transaction where it reasonably considers such action necessary to comply with applicable laws, respond to regulatory requests, investigate suspected fraud or unauthorized activity, manage financial or operational risk, resolve disputes or chargebacks, protect the security of the Platform, or otherwise safeguard the legitimate interests of Nuvia, its users, or its financial partners.
7. Prohibited Activities and Account Restrictions
You must use the Platform only for lawful purposes and in accordance with these Terms. You must not use, or attempt to use, the Platform in any manner that is fraudulent, deceptive, abusive, unlawful, or likely to expose Nuvia, its users, financial partners, or third parties to financial, operational, legal, regulatory, or reputational risk.
Without limitation, you must not:
- engage in fraud, money laundering, terrorist financing, sanctions evasion, or any other unlawful activity;
- use the Platform to facilitate prohibited, unauthorized, or illegal transactions;
- provide false, misleading, or inaccurate information during registration, identity verification, or while using the Platform;
- circumvent transaction limits, security controls, account restrictions, or risk management measures implemented by Nuvia;
- access or attempt to access another user's account or interfere with the security, integrity, or operation of the Platform;
- misuse, reverse engineer, disrupt, overload, or otherwise compromise the Platform or any part of its supporting infrastructure; or
- use the Platform in any manner that violates applicable laws, regulations, these Terms, or the rights of any third party.
Nuvia may, at its sole discretion and without prior notice where reasonably necessary, refuse a transaction, suspend or restrict access to specific services, place temporary holds on transactions or settlements, request additional information, or suspend or terminate your account where it reasonably believes that you have breached these Terms, failed to satisfy applicable legal or regulatory requirements, engaged in prohibited activity, or otherwise posed an unacceptable legal, financial, operational, or security risk.
Where appropriate and permitted by applicable law, Nuvia may also report suspected unlawful activity to competent authorities, financial institutions, payment partners, or other relevant third parties and cooperate with any lawful investigation or regulatory request.
8. Privacy, Confidentiality and Intellectual Property

Nuvia is committed to protecting the privacy and security of your personal information. By using the Platform, you acknowledge that Nuvia may collect, use, store, process, and disclose information relating to your account and use of the Platform where necessary to provide our services, comply with applicable legal and regulatory requirements, prevent fraud, manage risk, enforce these Terms, and protect the security and integrity of the Platform.
You are responsible for maintaining the confidentiality of your account credentials and must not disclose them to any unauthorized person. You must promptly notify Nuvia if you become aware of any unauthorized access to or use of your account.
Intellectual Property
The Platform, including its software, technology, content, trademarks, logos, designs, graphics, text, and other materials, is owned by or licensed to Nuvia and is protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership rights in the Platform or its content except the limited right to access and use the Platform in accordance with these Terms.
You must not copy, reproduce, modify, distribute, reverse engineer, create derivative works from, or otherwise exploit any part of the Platform except as expressly permitted by Nuvia or applicable law.
9. Disclaimers and Limitation of Liability
Nuvia provides the Platform on an "as available" and "as applicable" basis. While we strive to maintain a secure, reliable, and uninterrupted service, we do not warrant or guarantee that the Platform will always be available, uninterrupted, error-free, or free from delays, inaccuracies, security incidents, or other defects.
Nuvia is a technology provider that facilitates access to payment and related financial technology services. Nuvia is not a deposit-taking bank or financial institution in all operating territories and does not guarantee the performance, availability, or actions of third-party financial institutions, payment providers, or other service providers that support the Platform.
To the maximum extent permitted by applicable law, Nuvia shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including any loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings, arising out of or in connection with your access to or use of the Platform.
Without limiting the foregoing, Nuvia shall not be responsible for any loss, delay, failure, or interruption resulting from circumstances beyond its reasonable control, including failures of communication networks, payment systems, financial institutions, third-party service providers, internet infrastructure, utility services, cyber incidents, force majeure events, or actions taken by regulatory or governmental authorities.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
10. General Provisions
These Terms constitute the entire agreement between you and Nuvia regarding your access to and use of the Platform and supersede any prior agreements, communications, or understandings relating to the same subject matter.
If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court or other competent authority, the remaining provisions shall continue in full force and effect.
Any failure or delay by Nuvia to exercise or enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
You may not assign, transfer, or otherwise dispose of any of your rights or obligations under these Terms without Nuvia's prior written consent. Nuvia may assign or transfer its rights and obligations under these Terms as part of a corporate reorganization, merger, acquisition, financing, sale of assets, or other business transaction, or where otherwise permitted by applicable law.
Nuvia shall not be responsible for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control.
These Terms shall be governed by and construed in accordance with the laws applicable to the Nuvia operating entity providing services to your account. The applicable governing law and jurisdiction shall be determined by the region from which your account is serviced.
